These Terms and Conditions (“Terms”) govern access to and use of the Nodifyr website, software, dashboards, communications, connected-device services, and related products or services provided by Nodifyr LLC (“Nodifyr,” “we,” “us,” or “our”).
By accessing or using Nodifyr services, you agree to these Terms. Separate written customer agreements, proposals, purchase orders, or service agreements may also apply. If a signed agreement conflicts with these website Terms, the signed agreement controls for that customer relationship.
1. Nodifyr Services
Nodifyr develops and provides electronic monitoring systems, embedded sensor hardware, wireless devices, software dashboards, automated notifications, data-processing services, installation, maintenance, and related technical services.
Features and availability may vary based on the customer’s selected products, configuration, connectivity, service plan, location, and equipment.
2. Accounts
You must provide accurate information when creating or using an account.
You are responsible for:
- Keeping login credentials confidential
- Limiting access to authorized users
- Maintaining accurate account and contact information
- Configuring notification recipients and alert preferences
- Promptly notifying Nodifyr of suspected unauthorized access
You are responsible for activity performed through your account unless caused by Nodifyr’s failure to use reasonable security measures.
3. Monitoring Data and Alerts
Nodifyr systems may collect and process sensor readings, device status, connectivity information, timestamps, alerts, and other operational data.
Alerts and dashboard information are intended to assist users with monitoring and decision-making. They may be delayed, incomplete, inaccurate, interrupted, or unavailable because of:
- Network or cellular outages
- Power loss
- Hardware failure
- Environmental conditions
- Improper installation
- User configuration
- Third-party service interruptions
- Maintenance or software issues
Nodifyr alerts should not be treated as the sole source for emergency response, life-safety, security, regulatory compliance, or other critical decisions unless expressly stated in a separate written agreement.
4. SMS Messaging Terms
The Nodifyr Alerts messaging program sends transactional and informational messages to users who expressly opt in.
Messages may include equipment offline alerts, low-battery warnings, sensor status changes, operational threshold events, maintenance reminders, installation updates, and account or service notices.
Message frequency varies based on system activity and user-selected settings. Message and data rates may apply.
Consent to receive SMS messages is optional and is not a condition of purchase.
To stop receiving SMS messages, reply STOP. After submitting STOP, you may receive a final confirmation message.

Wireless carriers are not liable for delayed or undelivered messages.
Supported carriers and message delivery are subject to carrier availability, network conditions, and applicable carrier policies.

5. Acceptable Use
You may not use Nodifyr services to:
- Violate any law or regulation
- Interfere with or disrupt systems or networks
- Access accounts or data without authorization
- Introduce malicious code
- Circumvent security or usage restrictions
- Send unlawful, deceptive, abusive, or unsolicited communications
- Reverse engineer products except where applicable law expressly permits it
- Misrepresent data, system status, or affiliation with Nodifyr
- Use the services in a way that creates unreasonable risk to people, property, or infrastructure
6. Customer Responsibilities
Customers are responsible for:
- Providing lawful and suitable installation locations
- Obtaining necessary permissions and approvals
- Maintaining power, network access, and supporting infrastructure where required
- Ensuring that collection and use of monitored data complies with applicable law
- Keeping user and notification lists current
- Following installation, maintenance, safety, and operating instructions
- Testing whether alerts and escalation procedures meet their operational needs
7. Intellectual Property
Nodifyr and its licensors retain all right, title, and interest in Nodifyr technology, including hardware designs, firmware, software, dashboards, documentation, branding, algorithms, configurations, methods, and related intellectual property.
Purchasing or using a Nodifyr product does not transfer ownership of underlying Nodifyr intellectual property.
Subject to applicable payment and contract terms, customers receive a limited, nonexclusive, nontransferable right to use the relevant Nodifyr products and services for their intended internal purposes.
8. Customer Data
As between Nodifyr and the customer, the customer retains rights in data the customer provides or lawfully collects through its use of the services, subject to the rights necessary for Nodifyr to host, process, transmit, maintain, secure, support, and improve the services.
Customers represent that they have the lawful authority to provide and process such data.
9. Third-Party Services
Nodifyr services may depend on third-party telecommunications, hosting, mapping, payment, authentication, hardware, or software services.
Nodifyr is not responsible for third-party products or services outside its reasonable control. Separate third-party terms may apply.
10. Fees and Payment
Fees, billing schedules, taxes, deposits, subscriptions, hardware charges, installation charges, and payment terms may be stated in a separate proposal, order, invoice, or agreement.
Amounts not disputed in good faith must be paid when due. Nodifyr may suspend services for nonpayment where permitted by the applicable agreement and law.
11. Warranty Disclaimer
Except for warranties expressly stated in a signed agreement, Nodifyr services are provided on an “as available” basis.
To the maximum extent permitted by law, Nodifyr disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
12. Limitation of Liability
To the maximum extent permitted by law, Nodifyr will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of use, or business interruption.
Any additional liability limitations in a signed customer agreement will control over this section.
Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply in every case.
13. Indemnification
To the extent permitted by law, you agree to indemnify and hold Nodifyr harmless from third-party claims arising from:
- Your unlawful use of the services
- Your violation of these Terms
- Data or instructions supplied by you
- Your failure to obtain required permissions or consent
- Your misuse, alteration, or unauthorized installation of Nodifyr products
This section does not apply to the extent a claim was caused by Nodifyr’s own unlawful conduct.
14. Suspension and Termination
Nodifyr may suspend or terminate access when reasonably necessary to:
- Address nonpayment
- Prevent security threats or misuse
- Comply with law
- Protect users, systems, or third parties
- Enforce these Terms or a customer agreement
Users may stop using the services at any time, subject to any contractual payment, return, cancellation, or data-retention obligations.
15. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.
Unless a separate written agreement specifies otherwise, disputes shall be brought in a court of competent jurisdiction located in Washoe County, Nevada.
16. Changes to These Terms
We may update these Terms periodically. Revised Terms will be posted with a new effective date.
Material changes may also be communicated through the website, account notices, or email when appropriate.
